Welcome to MaTorii. These Terms and Conditions govern your use of the MaTorii website, mobile applications, and related services (collectively, the "Service").

MaTorii is a product operated by Mark Muller, trading as m-spacemedia ("we", "us", or "our"), a sole trader based in the United Kingdom. All services, AI-generated content, and support are provided by us.

By accessing or using MaTorii, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

1. Acceptance of Terms

By creating an account, accessing, or using MaTorii, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. We reserve the right to modify these Terms at any time. Continued use of the Service after any modifications constitutes acceptance of the updated Terms.

2. Description of Service

MaTorii is an AI-powered meditation platform that provides personalised meditation experiences, including:

• Generative ambient music and soundscapes created in real-time (with integrated ambient noise)
• Personalised AI voice narration and guided meditation sessions
• Binaural beats (theta and other frequencies) calibrated for relaxation, focus, or sleep
• Visual meditation journeys synchronised with audio content
• Audio recording exports (on eligible plans)

All content is generated dynamically using artificial intelligence technologies and is tailored to your individual preferences and meditation goals.

3. Account Registration

To access certain features of MaTorii, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorised use of your account

You must be at least 13 years of age to create an account. If you are under 18, you must have parental or guardian consent to use the Service.

4. Subscription Plans and Pricing

MaTorii offers multiple subscription tiers and flexible billing. All payments are processed by Paddle, our merchant of record. By subscribing, you agree to Paddle’s terms for all payment-related matters.

4.1 Free Plan (Sando)

The Sando plan provides:

• Access to five (5) audio-only soundscape meditations per month

• Three (3) trial guided meditations with AI voice narration

• Zen meditation soundscape

• Theta binaural beats

• Visual meditation journeys

Free accounts do not include access to all music styles, all binaural frequencies, or audio export capabilities. To unlock these features, a paid subscription is required.

4.2 Paid Plans (Ma and Torii)

Paid subscriptions unlock additional features including:

• All music styles

• AI voice narration for guided meditations

• All binaural frequencies

• Audio recording exports

The 'Torii' plan includes a higher monthly meditation quota and audio recording exports compared to the 'Ma' plan. Each generated guided meditation session counts toward your plan’s quota.

4.3 Billing

• Subscriptions are available on a monthly or yearly basis.

• Yearly subscriptions include a discount compared to monthly billing.

• Subscription fees are billed in advance on a recurring basis.

• Your subscription will automatically renew unless cancelled before the next billing date.

• Your monthly meditation quota resets on your billing date each month.

4.4 Cancellation, Downgrades, and Payment Handling

• Payment Handling: All payment processing, disputes, refunds, and chargebacks are handled directly through Paddle in accordance with their terms. By subscribing, you agree to Paddle’s terms.

• Subscription Cancellation:

  • You may cancel your subscription at any time via your account settings.

  • Premium access continues until the end of the current billing period.

  • Cancellation takes effect on your next billing date, after which the subscription will not renew automatically.

• Plan Upgrades and Downgrades:

  • Upgrades take effect immediately, providing access to the new plan’s features.

  • Downgrades take effect at the start of your next billing cycle, allowing you to retain your current plan benefits until the end of the current period.

• Quota Resets: Your meditation quota resets on your billing date each month, regardless of plan changes.

• Pricing Changes: We reserve the right to modify subscription pricing with reasonable notice. Any changes will apply to future billing cycles and not retroactively.

5. AI-Generated Content

You acknowledge and agree that:

• All meditation content (audio, narration, visuals) is generated by artificial intelligence systems
• AI-generated content may vary and is not guaranteed to be identical across sessions
• We use third-party artificial intelligence providers and infrastructure services to process your inputs and generate personalised content
• Your prompts, preferences, and session data may be transmitted to our AI service providers
• While we strive for quality, AI-generated content may occasionally contain unexpected variations

MaTorii does not claim ownership of AI-generated content created during your sessions, but you grant us a licence to use anonymised and aggregated data to improve our Service.

We may use anonymised and aggregated usage data to improve our artificial intelligence systems and overall Service performance.

5.1 AI Output and Accuracy

The Service uses artificial intelligence systems to generate meditation content in response to user inputs. AI-generated outputs may occasionally contain inaccuracies, unexpected results, or content that does not fully reflect the intended context of your request.

You acknowledge that AI-generated content is produced automatically and should be used for general wellness and relaxation purposes only. We do not guarantee the accuracy, completeness, or suitability of any AI-generated output.

5.2 User Reliance on AI Guidance

The Service provides automated meditation guidance and relaxation content generated by artificial intelligence systems. While the Service is designed to support general wellbeing and mindfulness, it is not intended to replace human judgment, professional therapy, counselling, or medical advice.

You agree not to rely on the Service as a substitute for professional mental health support or crisis intervention.

5.3 AI System Variability

The Service relies on artificial intelligence technologies and third-party infrastructure that may change over time. As a result, generated content, features, and system behaviour may vary between sessions and may evolve as our technology improves.

AI models and system behaviour may be updated at any time without prior notice. We do not guarantee that AI-generated outputs will remain consistent, identical, or available in the same form at all times.

5.4 Emotional and Psychological Effects

Meditation experiences generated by the Service may influence mood, emotional state, or mental focus. Individual experiences may vary. You acknowledge that the Service is designed for general relaxation and mindfulness and should not be interpreted as psychological guidance or therapeutic intervention.

6. Content Monitoring and Safety

To maintain a safe environment and protect our users, we monitor prompts and inputs submitted to the Service for harmful content. This includes, but is not limited to, content that indicates:

• Self-harm or suicidal ideation
• Intent to harm others
• Illegal activity
• Abuse of the Service

6.1 Account Suspension or Termination

We reserve the right to immediately suspend or permanently close your account if we detect prompts or usage patterns that indicate harmful content, violations of these Terms, or misuse of the Service. This action may be taken without prior notice.

6.2 Disclosure to Authorities

Where we reasonably believe there is an imminent risk of harm to you or others, or where we are required by law, we reserve the right to disclose relevant information (including account details and prompt history) to appropriate law enforcement agencies, emergency services, or other relevant authorities. We will cooperate with authorities as required by applicable law.

If you or someone you know is in crisis, please contact emergency services or a mental health helpline in your region immediately. MaTorii is not a crisis intervention service and should not be used as a substitute for professional help.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Submit prompts containing harmful, abusive, threatening, or illegal content
• Attempt to reverse engineer, decompile, or extract the underlying AI models or algorithms
• Share your account credentials or allow others to access your account
• Use automated systems, bots, or scripts to access the Service
• Interfere with or disrupt the Service or servers connected to the Service
• Circumvent any security measures or access controls
• Resell, redistribute, or commercially exploit the Service or exported audio recordings without authorisation
• Abuse the meditation generation system to circumvent quota limitations

8. Health and Wellness Disclaimer

MaTorii is designed for general wellness and relaxation purposes. The Service:

• Is NOT a substitute for professional medical advice, diagnosis, or treatment
• Is NOT a crisis intervention or mental health treatment service
• Should not be used to treat any medical or mental health condition
• May include binaural beats which are not suitable for individuals with epilepsy or seizure disorders
• Should not be used while driving, operating machinery, or in situations requiring alertness

If you have any health concerns, please consult a qualified healthcare professional before using meditation or binaural beat technologies. If you experience any adverse effects, discontinue use immediately and seek medical attention if necessary.

If you are experiencing a mental health crisis, suicidal thoughts, or thoughts of self-harm, please contact emergency services or a crisis helpline immediately.

9. Intellectual Property

All intellectual property rights in the Service, including but not limited to the platform, software, design, trademarks, branding, and underlying technology, are owned by m-spacemedia or its licensors.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

Audio recordings exported through the Service are licensed for your personal use only. You may not sell, redistribute, or commercially exploit exported recordings without express written permission.

The concepts of "Ma" and "Torii" as referenced in our branding are inspired by Japanese cultural and aesthetic traditions and are used respectfully in the context of meditation and mindfulness.

10. Limitation of Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded or limited under applicable law.

To the maximum extent permitted by applicable law:

• MaTorii is provided "as is" and "as available" without warranties of any kind
• We do not warrant that the Service will be uninterrupted, error-free, or secure
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid for the Service in the preceding 12 months

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you. References to "we", "us", or "our" in these Terms include Mark Muller personally, trading as m-spacemedia, to the fullest extent permitted by applicable law.

We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, internet or telecommunications failures, cyber attacks, labour disputes, or government actions.

11. Indemnification

You agree to indemnify and hold harmless Mark Muller, trading as m-spacemedia, its affiliates, officers, directors, employees, agents, licensors, and service providers from any claims, damages, losses, liabilities, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for suspension or termination include, but are not limited to, violation of these Terms, submission of harmful content, or conduct that we reasonably believe poses a risk to the safety of any person. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

These Terms may be translated into languages other than English for convenience. In the event of any inconsistency or conflict between the English version and a translated version, the English version shall prevail.

Any dispute arising out of or in connection with these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise required by applicable consumer protection law.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
